These Terms of Service govern access to and use of the A2E Seller Platform for shipment preparation, booking, documents, tracking and other enabled functions. They are based on the functional structure of online shipping-platform terms, adapted for A2E's multi-carrier logistics model. By actively accepting these Terms during registration, the Seller agrees to the provisions below; shipment carriage remains governed by the applicable Service Agreement and shipment documents.
If the English and Vietnamese texts differ, the Vietnamese text prevails for Vietnam-based accounts (Article 24.1).
Article 1
Definitions
- 1.1
A2E. “A2E” is the common commercial name/brand used for the Seller Platform and logistics services offered by the A2E group, including A2E VN and A2E SHIP PTE. LTD. (Singapore), as applicable. “A2E” is not, by itself, the name of a separate contracting legal entity. The entity responsible for a particular Platform account or Shipment is determined by the applicable Service Agreement, quotation, Booking confirmation or other accepted transaction document.
- 1.2
A2E VN. “A2E VN” means A2E Vietnam Co., Ltd. (CÔNG TY TNHH A2E VIỆT NAM), enterprise/tax code 0317220318, with registered address at 165/37 Nguyen Thai Binh Street, Ben Thanh Ward, Ho Chi Minh City, Vietnam. It is a separate legal entity within the A2E group, and is the relevant Platform/service provider only to the extent identified in the applicable terms and transaction documents. The use of the A2E brand does not automatically make A2E VN the contracting party for services supplied by another A2E entity.
- 1.3
Seller / Client. The person or organization that registers or uses the Platform, places a Booking or arranges services with A2E; a business Seller remains responsible for its Authorized Users and its Bookings.
- 1.4
Authorized User. An employee, agent or other individual permitted by the Seller to access the Seller Account and issue operational instructions within the scope of their authorization.
- 1.5
Seller Account / Account. A registered account, with associated login credentials, settings, users, records and access permissions, used to access the Platform.
- 1.6
Seller Platform / Platform. The online interface and related digital services designated by A2E for Seller registration, Bookings, tracking, shipment documents, statements and support, according to enabled features.
- 1.7
Service Agreement. A separately agreed Client Onboarding Agreement, logistics/shipping contract or other written service arrangement with the applicable A2E entity, including accepted appendices and amendments.
- 1.8
Booking. An electronic request or instruction submitted through the Platform to arrange a proposed Shipment; a saved or submitted Booking alone does not prove physical receipt of goods.
- 1.9
Booking Confirmation. A confirmation issued or accepted by A2E for a proposed Shipment, specifying the relevant details or service option; this is distinct from physical collection or handover.
- 1.10
Shipment. One consignment of goods, parcels or documents identified by the relevant Booking, from a specified Consignor to a specified Consignee.
- 1.11
Consignor / Consignee. “Consignor” means the person tendering goods for transportation; “Consignee” means the designated recipient of the Shipment.
- 1.12
Waybill. A physical or electronic transport record containing key shipping data, which may include the carrier tracking number, subject to the carrier’s applicable conditions.
- 1.13
Tracking / Tracking Number. Tracking means status and movement information obtained from the Platform, carriers or Service Partners. A tracking number is the identifier used to search the relevant records.
- 1.14
Shipment Status. A system or operational label describing a recorded milestone, such as documentation preparation, pickup, carrier handover, transit, delivery attempt, delivery or return.
- 1.15
Documentation Prepared. A status indicating that Booking and/or shipping documentation has been prepared or initiated; it does not confirm pickup, physical receipt or carrier handover.
- 1.16
Physical Handover / Carrier Handover. A confirmed transfer of physical custody of goods to A2E or a designated carrier/Service Partner, evidenced by a receipt, scan or another reliable operational record.
- 1.17
POD / Proof of Delivery. A delivery confirmation or evidence issued or made available by A2E or a carrier, potentially including signature, photograph, scan or other reliable record.
- 1.18
Declared Value. The value of goods declared by the Seller for customs and, where applicable, package protection/insurance purposes, consistent with supporting commercial documents.
- 1.19
Chargeable Weight. Weight used to calculate freight, based on actual or volumetric weight and carrier/service rules as stated in the applicable quotation or Service Agreement.
- 1.20
Quotation / Rate Card. A price proposal or published tariff applicable to identified services, subject to its stated validity, assumptions, acceptance and any applicable later adjustments.
- 1.21
Surcharges / Additional Charges. Valid freight-related additional charges, including remote-area, storage, return, customs, duty/tax, weight-correction or re-delivery charges, where applicable under agreed documents.
- 1.22
Service Partners. Carriers, airlines, warehouses, customs brokers, delivery agents, technology/payment providers, affiliates or subcontractors engaged to support or perform the services.
- 1.23
Prohibited / Dangerous Goods. Goods prohibited, restricted or classified as dangerous under applicable law, customs, aviation or carrier rules, including goods requiring special permits/handling.
- 1.24
Premium Protection. An optional service or enhanced-liability package, if specifically accepted for a Shipment, with separate coverage, fee, exclusions and claims requirements.
- 1.25
System Records. Operational logs, Booking information, timestamps, tracking/POD records, accepted confirmations, electronic messages and other records maintained or received by A2E.
- 1.26
Personal Data / Privacy Policy. Personal Data means information relating to an identifiable individual under applicable law. Privacy Policy means the separately identified A2E Seller Platform notice describing relevant personal-data processing.
- 1.27
Business Day. A day other than Saturday, Sunday or an official public holiday at the place of the responsible A2E entity, unless the applicable Service Agreement defines it differently.
- 1.28

Integration / API. An approved technical connection that may exchange shipping data between the Platform and an external system when enabled by A2E.
- 1.32
Shipment Notification. An operational electronic alert concerning Booking, pickup, routing, customs, delay, delivery or other events relating to a Shipment.
- 1.33
A2E SG. A2E SHIP PTE. LTD., a separate Singapore legal entity within the A2E group. Where it is the contracting service provider, its own executed Service Agreement and applicable documents govern that service.
Article 2
Scope and License to Use
- 2.1
Application. These Terms of Service (“Terms”) govern access to and use of the A2E Seller Platform (“Platform”), including account registration, booking requests, shipment records, tracking information, operational documents and related online functionality. “Seller”, “Customer” or “you” means the person or organization registering or using the Platform, including its authorized users.
- 2.2
Platform Provider and Contracting Entity. For Vietnam-based accounts, the Platform is made available by A2E Vietnam Co., Ltd. (“A2E VN”), enterprise/tax code 0317220318, at 165/37 Nguyen Thai Binh Street, Ben Thanh Ward, Ho Chi Minh City, Vietnam, unless the relevant signed agreement or a specific booking document expressly identifies another A2E contracting entity. A location or currency selected on a signup screen is not by itself proof of the shipping service contracting or billing entity.
- 2.3
Limited License. The Seller receives a limited, non-exclusive and non-transferable permission to use the Platform solely for authorized A2E logistics transactions while its Account is active.
- 2.4
Permitted Business Purpose. The Seller may use the Platform solely to prepare, request, organize, track and administer Shipments and related services lawfully arranged through A2E. Resale of Platform access, unauthorized data brokerage or use unrelated to permitted shipping business is prohibited.
- 2.5
No Goods Marketplace. The Platform is an electronic channel for requesting and managing logistics services; it does not independently transfer ownership of goods or create a sale agreement between the Seller and end-customers.
Article 3
Registration, Login and Account Security
- 3.1
Affirmative Acceptance. By selecting an affirmative acceptance box and creating or using an account, you confirm that you have read and agree to these Terms. If acting for an organization, you represent that you are authorized to bind it in matters of Platform access and routine operational instructions. Do not create an account if you lack that authority or do not agree.
- 3.2
Registration by an Organization. The Platform is intended primarily for business sellers and their authorized personnel. Users must be legally capable of entering into applicable transactions. Creation of an account does not itself obligate A2E to transport a Shipment, open credit terms or accept restricted goods.
- 3.3
Correct Registration Details. You shall provide accurate company, contact, billing and login information, keep it current, protect credentials and configure appropriate access rights for your personnel. You are responsible for activity performed by your authorized users and must promptly notify A2E of a suspected compromise, unauthorized Booking or personnel departure.
- 3.4
Account Verification. A2E may verify identity, business registration, contact, tax and billing information and request supporting documents when reasonably needed. Submission of a registration form does not obligate A2E to approve credit or accept any Shipment.
- 3.5
Login and Instruction Attribution. Instructions, Bookings and approvals submitted using an authorized account may be relied upon as operational instructions, subject to confirmation and any restrictions you have communicated to A2E in writing. A2E may request identity or authority verification and may restrict high-risk actions pending verification.
- 3.6
Credential Compromise. The Seller shall notify A2E promptly of compromised credentials, suspected unauthorized access, fraudulent orders or access retained by former employees. A2E may temporarily restrict access while investigating.
Article 4
Authorized Users, Third-Party Shippers and Administration
- 4.1
Administrator Permissions. Where supported, the Seller shall designate an Account Administrator to grant, review and revoke access rights. The Seller must promptly remove permissions of employees or agents whose authorization has ended.
- 4.2
Shipping for a Third Party. A Seller may book a Shipment for a customer, vendor, affiliate or other third-party shipper only when it has lawful authority and accurate shipment instructions. A2E may request evidence of authority. Such booking does not transfer the Seller's account, payment or compliance obligations unless A2E expressly agrees otherwise in writing.
- 4.3
Authorized Transactions. An Authorized User may submit ordinary Bookings and operational instructions within their assigned permissions. Changes to a signed Service Agreement, credit terms, liability limits or legal representation require the separate approvals and formalities applicable to those matters.
- 4.4
Account Responsibility. The Seller is responsible for reasonable control of actions performed through its Account, except to the extent an unauthorized action is caused by A2E's breach of its security obligations or another legal exception applies.
Article 5
Shipment Preparation, Booking and Handover
- 5.1
Enabled Shipping Functions. The Platform may allow you to enter shipment details, request quotes or Bookings, view shipment progress, upload documents, access statements and contact customer support. Features may vary by route, account and service package. A2E may update, improve or temporarily restrict features for technical, security or legal reasons.
- 5.2
Creating a Booking. Creating or saving a Booking records your request; it does not mean that A2E or a carrier has physically collected or accepted the goods. A Shipment is received for handling only when A2E or the designated Service Partner confirms receipt/handover through an appropriate scan, receipt, Waybill, written acknowledgement or other reliable operational record.
- 5.3
Booking Confirmation. A Booking Confirmation records the arrangements accepted for a proposed Shipment but does not, by itself, confirm physical receipt of goods or commencement of carriage.
- 5.4
Shipping Labels and Waybills. A Shipping Label, Waybill, tracking reference or electronic shipment document generated by the Platform must be used solely for its corresponding Shipment and in accordance with A2E/carrier instructions. Creating or printing a label does not prove goods have been collected.
- 5.5
Documentation Prepared Is Not Pickup. A status such as “Documentation Prepared” means that booking/document preparation has been completed or initiated, not that collection, carrier handover or transit has begun. Estimated collection, departure and delivery dates are not binding delivery guarantees unless a specific service commitment is expressly confirmed in writing.
- 5.6
Evidence of Actual Handover. Physical receipt or carrier handover shall be supported by a receipt, scan, written acknowledgement, Waybill confirmation or other reliable operational evidence.
- 5.7
Accuracy Before Submission. You should check final Booking details before submission. Material changes after confirmation (including address, weight, goods, route or value) may require re-quotation, re-approval, re-labelling or cancellation.
- 5.8
Carrier Acceptance. Collection requests, manifests and handover appointments are subject to operational capacity and carrier confirmation. A2E may change the proposed carrier or route if reasonably necessary and consistent with the agreed service level, and shall communicate material differences when practicable.
Article 6
Electronic Trade Documents and Digital Authorization
- 6.1
Use of Electronic Documents. Where the Platform supports Electronic Trade Documents (ETD), the Seller authorizes A2E to receive, transmit and submit uploaded shipping documents electronically to relevant carriers, customs brokers or authorities for the approved Shipment and lawful service purposes.
- 6.2
Authority to Use Letterhead or Signature. The Seller shall upload any letterhead, stamp or signature image only if it has legal authority to use it. A2E may incorporate such material into shipment documents only within the Seller's specific authorization; any additional legal electronic-signature requirements must be separately satisfied.
- 6.3
Truthful and Complete Documents. The Seller is responsible for the accuracy and completeness of descriptions, declared values, invoice data, HS codes supplied by it, permits and signatures. A2E's technical transmission does not certify the truth of Seller-provided information.
- 6.4
Original Documents. Electronic submission does not remove any obligation to provide original documents, wet-ink signatures, licenses or other physical papers when required by law, customs, destination authorities or carriers.
- 6.5
Retention and Document Changes. The Seller must retain source documents for the legally required period and promptly notify A2E of material errors. A2E may request corrected documents before a Shipment proceeds; changes after export or carrier handover may involve delays or additional valid costs.
Article 7
Information Accuracy, Compliance and Restricted Goods
- 7.1
Sender, Recipient and Goods Data. You are responsible for complete and truthful sender/consignee contact details, destination address, description and quantity of goods, declared customs value, country of origin, packaging, actual dimensions/weight and applicable invoice, packing list, permits and other documents. A2E may reasonably request clarification or documentary evidence before processing.
- 7.2
Goods Restrictions and Packaging. You shall not book illegal, counterfeit, prohibited, restricted or dangerous goods without prior written confirmation and any required permits and handling arrangements. Goods may be inspected, held, returned or refused where permitted by applicable law and the Service Agreement. You remain responsible for the legal compliance of your merchandise and instructions.
- 7.3
Customs and Shipping Documentation. The Seller shall supply invoices, packing lists, product descriptions, permits and other documentation legally or operationally required by the relevant service.
- 7.4
Refusal and Legal Compliance. A2E may refuse, hold, inspect where lawful, suspend or return goods presenting a material safety, legal or operational risk, in accordance with the Service Agreement and law.
- 7.5
Export and Import Controls. The Seller shall comply with import/export licensing, sanctions, anti-bribery, intellectual property and other laws applicable to the Shipment, route, payment and end users. The Seller shall not use the Platform to evade trade restrictions.
Article 8
Rates, Estimates, Billing and Payment
- 8.1
Indicative Versus Confirmed Rates. Prices shown in the Platform are informational or indicative unless explicitly designated as a confirmed quotation. Freight, chargeable weight, foreign exchange, surcharges, duties/taxes, invoices, payment timing and reconciliation follow the applicable Service Agreement, accepted quotation/rate card and Shipment-specific documentation.
- 8.2
Final Weight, Duties and Surcharges. Additional valid charges may arise from corrected measurements, remote delivery, duties/taxes, storage, return, re-delivery or carrier/government adjustments. A2E will provide available supporting details and reconciliation mechanisms as required by the applicable Service Agreement. A Platform display is not a tax invoice unless it is identified and issued as one under applicable law.
- 8.3
Currency and Issuing Entity. Payment currency, exchange-rate methodology, invoicing entity and taxes follow the applicable law and accepted transaction documents. A Platform record is not automatically a lawful tax invoice.
- 8.4
Payment and Disputed Amounts. The Seller may request reasonable supporting evidence and reconciliation for disputed charges. Undisputed payment obligations remain governed by the Service Agreement.
- 8.5
Platform Access Fees. Platform registration does not itself create a paid subscription. Any separate Platform subscription, transaction fee or integration charge must be disclosed and accepted before becoming payable.
- 8.6
Billing Party and Credit. The billing party, payment deadline, credit approval and late-payment consequences are those in the applicable Service Agreement or accepted billing documents. If a recipient or third-party payer fails to pay valid charges and the relevant Service Agreement assigns ultimate responsibility to the Seller, the Seller remains liable within that agreed scope.
Article 9
Tracking, Status and Proof of Delivery
- 9.1
Tracking Data Sources. Tracking updates may originate from A2E systems, carriers, customs or Service Partners, and may arrive late, out of sequence or be unavailable for some routes. A2E will use commercially reasonable efforts to maintain and correct available status information, but the Platform is not guaranteed to be real-time or error-free.
- 9.2
Update Timeliness. A2E shall use commercially reasonable efforts to maintain available Shipment statuses, although uninterrupted real-time tracking cannot be guaranteed.
- 9.3
Verification of Status. Where a status is ambiguous, physical handover records, carrier scans, delivery proof (POD), Waybill, customer-service confirmation and other reliable evidence should be reviewed together. A tracking “Delivered” event is evidence to investigate or confirm delivery, not an automatic waiver of a valid complaint. Please promptly report discrepancies to A2E.
- 9.4
Delivery Evidence. Where available, POD may be shown through the Platform or official channels and may include delivery scans, recipient signatures, photographs and carrier confirmations.
- 9.5
Multiple Carrier Legs and Tracking Numbers. A returned, rerouted or rebooked Shipment may have separate carrier legs, Waybills and tracking references. A status for an earlier leg (including Return to Sender) must not be construed as the status of a later rebooked leg; evidence shall be reviewed per leg and for the Shipment overall.
- 9.6
Not Sole Evidence. A visible tracking milestone is an operational indication rather than conclusive proof in every case. When there is a dispute, available physical handover records, carrier scans, customs entries, POD and communications shall be assessed together.
Article 10
Notifications, Address Book and Messaging
- 10.1
Shipping Alerts. If enabled, the Platform may send Booking, customs, exception and delivery notifications by email or other selected channels. Alerts depend on data feeds and network conditions; absence or delay of an alert does not by itself establish delivery failure.
- 10.2
Message Content and Recipients. The Seller shall supply valid recipient contact details and ensure that messages sent on its instructions relate to legitimate shipment purposes. It shall not send unlawful, misleading, abusive or unsolicited commercial content through shipping notification functions.
- 10.3
Address Book. If an address book is enabled, the Seller is responsible for keeping entries accurate, restricting internal access and deleting records that are no longer necessary, subject to lawful retention obligations.
- 10.4
Notification Settings. The Seller may modify available alert preferences without waiving mandatory service, security, legal or payment notices. A2E may send essential operational notices even when optional notifications have been disabled.
Article 11
Carriers, Subcontractors and Service Terms
- 11.1
Service Partner Appointment. A2E may engage affiliates, carriers, warehouses, customs brokers, last-mile providers and technology/payment partners to perform or support the services in accordance with the relevant Service Agreement. Such appointment does not automatically substitute another party for the A2E contracting entity or release it from obligations that cannot lawfully or contractually be excluded.
- 11.2
Applicable Carrier Requirements. Carrier terms, lawful customs requirements and approved third-party technical terms may apply to the relevant part of the transaction. A2E will not treat those third-party terms as automatically overriding expressly agreed customer protections.
- 11.3
Contracting A2E Responsibility. Appointing a Service Partner does not automatically transfer or discharge the contractual obligations of the relevant A2E contracting entity, subject to applicable Agreement and mandatory law.
- 11.4
A2E Is Not All Underlying Carriers. Shipment processing through the Platform does not mean A2E is itself the operator of each underlying aircraft, courier network, customs system or last-mile route. The identity of the carrier or relevant service provider shall be shown in the agreed shipment records where available.
Article 12
Changes, Cancellation, Undeliverable and Returns
- 12.1
Amendment and Cancellation Requests. Requests to amend or cancel a Booking are subject to whether preparation, collection, dispatch, customs processing or carrier handover has occurred, and to the applicable Service Agreement and carrier/route rules. Return-to-sender, re-delivery, storage, disposal and customs costs may apply where validly incurred.
- 12.2
Cancellation Requires Acceptance. A cancellation request is not automatically effective until accepted where carrier, customs or other operational coordination is required. Valid cancellation charges may apply.
- 12.3
Undeliverable Goods. If a Shipment cannot be delivered because of incorrect information, recipient refusal, unpaid destination charges, missing permits or other issues, A2E may seek instructions and coordinate re-delivery, holding or return, subject to applicable law and carrier rules.
- 12.4
Costs and Rebooking. Valid costs for failed pickup, redirection, storage, re-delivery, return or rebooking shall be handled under the applicable Service Agreement and accepted transaction documents. A separate rebooking may generate a new tracking number and carrier leg.
Article 13
Shipment Claims, Liability and Insurance
- 13.1
Shipment-Specific Rules. Loss, damage, shortage, misdelivery, non-receipt, delay, Premium Protection, insurance, evidence requirements, claim deadlines and compensation limits are governed by the applicable Service Agreement, Service Package/Policy and shipment-specific accepted terms, not by a new or different liability limit in these Platform Terms.
- 13.2
Claim Notice and Evidence. You must promptly raise incidents and provide relevant tracking number, invoice, photographs, packaging and other evidence as reasonably required. A2E will coordinate investigation and available carrier records in accordance with the Service Agreement. No provision of these Terms removes liability that cannot be excluded under mandatory law.
- 13.3
Premium and Insurance. Premium Protection, insurance and other approved enhanced-liability packages follow their relevant accepted package-specific rules for eligibility, limits, evidence and claims.
- 13.4
No New Shipping Liability Cap. These Platform Terms do not create additional compensation limits or reduce contractual rights. If no applicable signed Agreement or accepted package term applies, mandatory law governs.
- 13.5
Written Agreement Has Priority. These Terms do not replace A2E VN or A2E SG compensation formulas, exclusions or claim periods validly agreed for Standard, Premium or other services. The relevant executed Agreement and accepted package-specific provisions govern.
Article 14
Integrations, Automation and Records
- 14.1
APIs and External Systems. Any API, ecommerce-store connection, batch upload or automated exchange is permitted only where A2E enables or expressly authorizes it. Separate technical instructions or integration agreements may apply.
- 14.2
Automated Data Validation. The Seller shall validate data transferred from its ERP, marketplace or other external systems and monitor failed imports, duplicate orders and mapping errors. A2E is not responsible for errors attributable solely to systems outside its control, except where otherwise agreed or required by law.
- 14.3
Electronic Logs and Audit Trail. A2E may maintain electronic records of login, consent, Booking changes, status updates, document uploads and operational communications. Records are evidence subject to verification and applicable law, and shall not automatically override reliable contrary evidence.
- 14.4
No Unauthorized Bots. The Seller may not deploy unapproved bots, crawlers or scripts to harvest tracking data, bypass limits, alter workflows or burden Platform systems. Authorized integrations must observe documented limits and security controls.
Article 15
Confidentiality and Personal Data
- 15.1
Separate Privacy Policy. Personal data submitted to the Platform will be processed in accordance with the separately published A2E Seller Platform Privacy Policy and applicable law. You must provide required privacy notices and have an appropriate lawful basis, including consent where applicable, before disclosing other individuals’ data (such as senders, recipients or contacts).
- 15.2
Nonpublic Business Information. Non-public prices, shipment information, customer lists, business documents and access credentials must be kept confidential, except for necessary disclosure to authorized personnel, Service Partners, advisers, competent authorities or as otherwise allowed by a Service Agreement or law.
- 15.3
Third-Party Personal Data. The Seller shall provide required notices and establish lawful grounds before uploading Personal Data of senders, recipients, employees or other individuals, including valid consent where law requires.
Article 16
Intellectual Property and Content
- 16.1
Platform Ownership. A2E and its licensors retain rights to the Platform, software, interface, trade names and technology. You receive a limited, non-exclusive, non-transferable right to use the Platform for authorized A2E logistics transactions while your account is active.
- 16.2
Seller Materials. The Seller retains its lawful rights in business data and materials uploaded by it. The Seller grants the responsible A2E entity a limited permission to store, reproduce, transmit and use those materials as reasonably required to perform requested services and comply with law.
- 16.3
Third-Party Materials. Third-party carrier names, shipping content, trademarks and technical content remain owned by their respective holders. Platform access does not transfer such rights to the Seller.
Article 17
Prohibited Use and External Links
- 17.1
Security Misuse. You must not probe security, reverse engineer, scrape data in bulk, transmit malicious code, bypass user permissions, misuse APIs or interfere with other users. A2E may maintain appropriate security and audit logs for service performance, fraud prevention and dispute handling, in accordance with its Privacy Policy.
- 17.2
Improper Use of Tracking. The Seller shall use tracking, rate and invoice data for its own lawful shipment administration and customer support only. The Seller must not sell data, impersonate another shipper, access another customer's shipments or use information for abusive benchmarking or unauthorized surveillance.
- 17.3
External Links. The Platform may link to carrier portals or websites operated by other parties. Their own terms and privacy notices may apply. A2E does not control third-party websites and is responsible only to the extent provided under the relevant agreement and law.
Article 18
Platform Changes, Maintenance and Service Continuity
- 18.1
Feature Modifications. Subject to proper notice when practicable, A2E may improve, replace or temporarily restrict Platform functions for security, maintenance, compliance or operational requirements.
- 18.2
Availability. A2E will take reasonable steps to operate the Platform securely and reliably but cannot guarantee uninterrupted access, constant integration availability or immediate synchronization with every Service Partner. Planned or urgent maintenance may temporarily limit access.
- 18.3
Continuity through Official Channels. If a system outage affects a time-sensitive instruction, use an official A2E support channel and request acknowledgment. Neither party may rely on a clearly erroneous display to avoid a valid obligation established by mutually accepted records; errors will be reviewed in good faith.
- 18.4
Data Corrections. A2E may reasonably correct inaccurate system records, duplicate tracking events or data-sync errors and shall retain an appropriate audit trail where feasible. A correction of Platform data does not itself amend the signed Service Agreement.
Article 19
Platform Warranties and Liability
- 19.1
Reasonable Care. A2E will exercise reasonable professional care in operating the Platform. Except for any express commitments and rights that cannot be excluded under law, the Platform and third-party data feeds are made available according to their actual technical availability.
- 19.2
Platform Errors. Where a material Platform error affects a Booking, A2E shall cooperate in investigating and correcting the error within its reasonable control. The applicable contractual and legal rules determine responsibility for resulting proven direct losses; there is no automatic exemption for A2E's own proven wrongdoing.
- 19.3
Mandatory Legal Rights. Any liability arising from use of the Platform is assessed under applicable contracts and law. Nothing excludes non-excludable statutory responsibilities.
- 19.4
No Shipment Liability Override. Nothing in this Article overrides the accepted liability or compensation regime for an underlying Shipment, including any Premium Protection or cargo insurance policy.
Article 20
Indemnification and Cooperation
- 20.1
Seller-Caused Losses. To the extent permitted by law and the applicable Service Agreement, the Seller shall reimburse A2E for reasonable documented direct losses, fines and third-party claims caused by the Seller's unlawful goods, forged authorization, materially inaccurate declarations or intentional misuse of the Platform. This does not extend to losses caused by A2E's own proven breach or negligence.
- 20.2
Cooperation on Claims. Each Party shall promptly provide relevant documents and reasonably cooperate in investigating incidents, correcting shipment data, dealing with customs requirements and mitigating loss, without waiving its legal rights.
Article 21
Suspension, Termination and Survival
- 21.1
Account Suspension. A2E may suspend access where reasonably necessary to address suspected fraud, security incidents, unlawful activity, material non-payment, abuse or legal obligations; reasonable notice will be provided where practicable unless immediate action is needed. A user may request account closure through the contact below.
- 21.2
Account Closure. Closing an account does not automatically cancel a confirmed Shipment, erase legally required records, waive outstanding charges, or terminate a separate Service Agreement. The latter must be terminated under its own terms.
- 21.3
Shipment Obligations Continue. Account suspension or closure does not automatically cancel confirmed Shipments, waive accrued payments or extinguish valid claims and rights arising before closure.
- 21.4
Survival of Essential Terms. Clauses relating to valid payments, confidentiality, privacy, intellectual property, accrued claims, liability, evidence and dispute resolution continue insofar as necessary after Account closure or termination.
Article 22
Updates, Electronic Acceptance and Notices
- 22.1
Policy Updates. A2E may revise these Platform Terms for future use and will make the current version and effective date accessible. Material changes will be communicated in a reasonable manner before taking effect where required by law. Changes to a signed Service Agreement or agreed Shipment-specific commercial terms require the process specified in that agreement; a unilateral Platform notice does not amend them.
- 22.2
Material Changes and Reacceptance. Where required by law, or where a change materially affects the Seller’s rights or obligations, A2E shall obtain renewed acceptance; changes do not retroactively extinguish accrued contractual rights.
- 22.3
Notification Channels. Operational notices may be delivered by the Platform, registered email or another agreed channel. For security-sensitive and legal notices, A2E may require a more reliable or authenticated method.
- 22.4
Audit Evidence of Consent. A2E may record the accepted Terms version, consent action, account identity, timestamp and associated technical logs to evidence the electronic acceptance, subject to the Privacy Policy and applicable law.
- 22.5
Opt-in for Optional Processing. Acceptance of these Terms is distinct from any consent legally required for optional marketing, advertising cookies or other non-essential Personal Data processing. Such consent shall be requested separately when required.
Article 23
Contract Precedence, Law and Disputes
- 23.1
Platform Matters. For matters of access, accounts, Platform functions and Platform data use, these Terms apply together with the Privacy Policy. For shipment performance, prices, payment, liability, claims and compensation, an applicable signed Service Agreement and duly accepted Shipment-specific documents or package terms prevail to the extent of inconsistency. These Terms do not diminish mandatory statutory rights.
- 23.2
Shipping Agreement Priority. For shipment performance, payments, claims and compensation, a valid signed Service Agreement prevails. Accepted Shipment-specific documents supplement and govern relevant operational, pricing or package details only as permitted by that Agreement.
- 23.3
Applicable Law. For Vietnam-based A2E VN accounts, Vietnamese law applies to these Terms and Platform-related disputes, subject to non-excludable law and any dispute-resolution mechanism expressly provided in an applicable signed Service Agreement. Parties should first attempt good-faith discussion and then apply the agreed or legally competent forum.
- 23.4
Resolution of Disputes. The Parties shall first seek a good-faith resolution. Unless a valid separate Agreement provides arbitration or another mechanism, Platform-only disputes unresolved after thirty (30) days of written notice fall within competent Vietnamese courts.
- 23.5
Country/Entity Differences. For transactions contracted with A2E SG or another A2E entity, the signed contract and applicable mandatory laws determine the relevant jurisdiction and dispute-resolution arrangement; merely selecting a country or billing currency during Seller registration does not create a contract with that entity.
Article 24
Miscellaneous, Language and Contact
- 24.1
Bilingual Interpretation. The English and Vietnamese texts are intended to have equivalent meaning. For Vietnam-based Platform access, unresolved interpretation differences shall be resolved in favour of the Vietnamese text, unless mandatory law or an applicable signed Agreement requires otherwise.
- 24.2
